These Terms of Use (“Terms”) govern the use of the website operated by Stagent Ltd. – Stagent Ltd. 516754256 (“Stagent” or “the Company”). Please read these Terms of Use carefully before using the website. Any person using or attempting to use the website (“User”) agrees to these Terms of Use and the Privacy Policy (as defined below “Privacy Policy”). If you do not agree to all or part of these Terms of Use, please refrain from using this website.

If you are a minor (under the age of 18), we ask that you read these Terms of Use carefully together with your guardian. If you or your guardian do not approve and agree to the Terms of Use outlined in this document, or part of them, you are not permitted to use the website or its services for any purpose.

Stagent reserves the right to update, add, edit, and modify these Terms of Use at its sole discretion from time to time. The most updated Terms of Use will appear on the website under the “Terms of Use” link. It should be emphasized that your use of the website (whether as a registered or occasional user) constitutes acceptance of these Terms, as they may change from time to time (as shown on the website).

If there is a contradiction or inconsistency between the provisions in these Terms of Use and those stated on other pages of the website, the provisions of these Terms of Use shall prevail. Without derogating from the above, in the event of a conflict between the provisions of these Terms of Use and the provisions of the Regulations (as defined below), the provisions of the Regulations shall prevail.

General

The Privacy Policy of the website (“Privacy Policy”) is available at this link and constitutes an integral part of these Terms of Use.

For convenience, these Terms of Use are drafted in the masculine form, but all references apply equally to women and men.

The headings are for convenience only and should not be considered when interpreting any term of the Terms of Use or their validity.

The Terms of Use are directed to you personally, but if you are acting on behalf of a business, the Terms outlined in this document will apply both to you and the business.

Unless explicitly stated otherwise, the following terms will have the meanings listed beside them:

“The Device” – Including communication equipment, computers, modems, phones, mobile phones (including smartphones), and any equipment, hardware, and software used by you to use the services, as well as all related functions, including information security.

Use of the Website

You are permitted to use the content on the website according to the rules detailed below only. It is forbidden to link to content from the website that is not the homepage of the website (“deep link”) and it is forbidden to display or publish such content in any other way, unless the deep link is to the entire website as is, so that it can be used and viewed exactly as it is used and viewed on the website. It is forbidden to link to content from the website disconnected from the web pages in which they appear on the website (for example: it is forbidden to link directly to an image, but only to the full page where it appears). Also, the full address of the web page on the website must appear in the regular place designated for it. It is forbidden to change, edit, distort, or hide this address and to replace it with any other address.

Notwithstanding the above, subject to Stagent’s consent and as part of receiving services according to the Regulations, the user may be allowed to deep link or transfer links to specific pages within the website to third parties. Stagent has the right and authority to instruct you to immediately cancel such links, at its discretion. In such a case, you are obligated to immediately cancel the deep link and will not have any claim, complaint, demand, or lawsuit against Stagent in this regard.

Stagent does not and will not bear any responsibility for any damage of any kind resulting from any link to content from the website and any display or publication of such content in any way or manner. You bear full and exclusive responsibility for any publication of the content, including linking or displaying it, that was done by you.

It is forbidden to embed videos from the website without prior written approval from Stagent on any website, including websites that contain or host: pornographic content, content that encourages racism or unlawful discrimination, content that is illegal, or whose publication is against the law or that promotes illegal activity, or websites where embedding the video would be a violation of the moral copyright of a third party, including the creators of the video and the copyright holders in it. Stagent reserves the right not to allow video embedding and/or to change the link to the video without the need to notify you in advance, and you will have no claim, lawsuit, and/or demand against Stagent for making such changes and/or for any malfunctions that occur during their execution. Stagent may instruct you to cancel any such embedding at its sole discretion – in such a case, you will cancel the embedding immediately and will not have any claim, demand, and/or lawsuit against Stagent in this regard. Stagent will not bear any responsibility for any damage caused by the embedding of videos from the website. You bear full and exclusive responsibility for any embedding done by you, including arranging copyright and payment to the relevant copyright/performers’ associations according to any law, and you undertake to indemnify Stagent for any damage caused as a result.

Personal Online Account and Registration Data

As part of the services provided on the website, Stagent may allow some users, subject to signing the Regulations, to receive and/or submit and/or perform actions and/or access certain information online through a dedicated user who will have access to a personal area on the website (hereinafter “the Personal Area”). The use of the Personal Area is intended for registered users only. If you receive access means, including username and password (hereinafter “Access Means”), you must keep these details completely confidential and avoid disclosing them to any unauthorized third party, including storing the data on a computer, mobile device, and/or any other device that allows connection to the Internet. The use of the Access Means is personal only, and you may use only the Access Means assigned to you, if assigned. You confirm that any use made of your Access Means will be considered as if it was made by you. You undertake to bear any damage caused by the use of your Access Means (even if done by another) and you release Stagent from any damage caused in connection with such use.

As part of the registration process mentioned above, you may be required to provide information about yourself, including a phone number, ID number, or address (hereinafter “Registration Data”). You are not required to provide the Registration Data, in whole or in part, but without providing it, you may not be able to enjoy the services or uses provided within the Personal Area, or alternatively, your request for access to a Personal Area may be denied, at Stagent’s discretion.

Ownership and Intellectual Property

The intellectual property rights in the website, including copyrights, the services offered on the website, and any other content included on the website belong solely to Stagent or to another third party that has given Stagent permission to use them. It is forbidden to copy, distribute, publicly display, publicly perform, transmit to the public, modify, process, create derivative works, sell, or lease any part of the above, either by you or through or in collaboration with a third party, in any way or means, whether electronic, mechanical, optical, photographic, recording, or any other means or method, without obtaining prior written consent from Stagent or the other rights holders, as applicable, and subject to the terms of the consent (if given). This provision also applies to any processing, editing, or translation done by Stagent to the content that was uploaded or submitted by you to the website.

The name “Stagent”, “Stagent”, and trademarks and/or service marks are the property of Stagent. You have no right to use the trademarks or symbols for any purpose not expressly stated in these Terms.

If and to the extent that consent is given as stated, you must avoid removing, deleting, or altering any notice or mark regarding intellectual property rights, such as the copyright mark ©, or the registered trademark mark ®, that accompany the content that you use.

The trademarks and advertising notices of advertisers on the website are the property of those advertisers only. It is also prohibited to use them without the advertiser’s prior written consent.

Stagent does not claim ownership of the content you submit for publication or storage on the website. However, by submitting the content for publication or storage, you confirm that you own all rights to it and that you are authorized to submit it as stated. If you are not the creator or rights holder of the content you submit for publication, you confirm that you have legal authorization from the rights holder to submit the content for publication on the website and grant usage rights in it as detailed below.

You hereby grant Stagent an irrevocable and unconditional authorization to use information about you or information you have provided to Stagent about third parties to create anonymous statistical analyses, including creating averaged data, aggregated data, benchmarks, user preferences, comparisons, recommendations, or performing other calculations or creating derivative works based on information provided by you or collected about you as detailed in the Terms of Use, whether in combination with information obtained from third parties or not (the aforementioned actions and their results will be referred to as “Statistical Information”). Without derogating from the above, it is clarified that the Statistical Information is the exclusive property of Stagent, and it owns all rights, including copyrights and intellectual property rights, in connection with the Statistical Information. Stagent will have an unlimited right to use, update, modify, improve, sell, lease, create derivative works, or make any other use of the Statistical Information without the need to provide notice or without any obligation or liability towards you. For the avoidance of doubt, the user hereby assigns all rights in the Statistical Information to Stagent and waives any right in the Statistical Information or any claim in connection with its use.

Remedies

Stagent may, at any time and without prior notice, update inaccurate or incorrect information you have provided, restrict your access to the services (including, without limitation, the ability to transfer funds and make payments), and refuse to provide you with the services in the event of one or more of the following:

If there is concern that you have violated the provisions of these Terms of Use.
If it is unable to verify and/or validate the information you have provided or if it believes the details you have provided about yourself are incorrect and inaccurate.
If it believes your use of the services poses any financial risk and/or fraud or if there is a reasonable suspicion of this.
If you have not yet paid any amounts you have committed to paying to Stagent for its services.
If it believes that your actions may cause financial loss and/or payment and/or create legal liability for you, them, and/or their customers.

Responsibility and Risks

The website as a whole, including all the information appearing or available or any link to another website or platform appearing on it, or the software on which the website is based, is provided for use, subject to the Terms of Use, as is (AS IS), without any commitment, representation, or statement not detailed in these Terms of Use, including regarding the commitment or representations relating to its quality, reliability, accuracy, completeness, timeliness, and availability of the information appearing on the website, its use, or its suitability for any purpose.

Stagent shall not be liable or responsible, directly or indirectly, for any compensation for damage caused by the information published on the website or from the use or inability to use the services or commercial options appearing on the website, or in connection with them.

It is clarified that Stagent’s systems, by their very nature based on software, hardware, and communication networks, are exposed to risks inherent in such systems, including malicious software (viruses, trojans, etc.), eavesdropping on communication lines, hacking by hostile entities, impersonation to others or any of the systems, and other online frauds. Stagent invests efforts in protecting against these risks, but despite this, there is no possibility of complete blockage, and damages and/or losses may occur due to the realization of any of the risks, including disclosure and/or disruption of information transmitted and/or displayed in the systems, including disruption in orders/requests, unauthorized actions in accounts, disruptions in system operations and/or response times, including non-execution, erroneous execution, and/or delayed execution of an order/request, unavailability of systems or any of their services, etc.

It is clarified that the services will be provided by Stagent according to your instructions and/or the instructions of anyone who appears to be you, subject to the provisions of the Terms of Use. Therefore, to reduce the risk, you must adhere to Stagent’s information security procedures. You must also immediately notify Stagent of any suspicion of misuse of your name and/or information about you. You undertake to bear responsibility for any violation of Stagent’s information security procedures.

Without derogating from anything mentioned in this agreement, Stagent will be exempt from any liability for damage, loss, or expense that may be caused to you, directly or indirectly, as a result of any of the following events/causes:

Data or instruction disruptions, or non-execution or delayed execution of an instruction resulting from any faults or disruptions in communication lines and/or malfunctioning electronic or mechanical function, whether at your place, at Stagent, or at any third party through whom the instructions and information pass.
Malfunctioning of any software and/or hardware located at your place.
Exposure and disclosure of information by you to any third party, as a result of using the services or as a result of providing inaccurate details and/or transferring your device to another person, including for the purpose of repairing the device, including if that other person views the information received from Stagent through the device or performs various actions through it within the services, and you undertake to bear any damage, loss, or expense that may be caused to you or the company in this regard.

You undertake to indemnify and compensate Stagent for any loss, damage, or deficiency (including expenses and attorney fees) caused to Stagent, in connection with any demand or lawsuit directed at it, as a result of your use of the website in violation of the Terms of Use; all of this, within 30 days from the date of receipt of Stagent’s first written demand.

It is clarified that nothing in the above shall derogate from your responsibility regarding your device, including its security. It is also clarified that certain actions you perform on the device, such as “jailbreaking,” may compromise the security of the information and services, in addition to the fact that some of these actions are illegal and prohibited.

It is possible that through the Personal Area, the user will be able to transfer certain information, such as messages, documents, reports, requests, etc., to third parties (including other users). It is clarified that the responsibility for the information transferred lies solely with the user, and Stagent is not responsible for the content of the messages and information or its accuracy.

Privacy

If you do not agree to any of the terms of the website’s Privacy Policy, please refrain from using the website. Any use of the website is subject to and conditioned upon full acceptance of the website’s Privacy Policy.

Some of the services may contain links to other sites, including links made by entities advertising on the site. These links are provided for your convenience only. It is clarified that Stagent has no control or right over the content found on these external sites. Jurisdiction

The use of the services is subject to Israeli law only. The exclusive jurisdiction in any dispute related to the website and/or the services is solely with the competent court in Haifa only.
